BOSE + GRAND CENTRAL TECH PITCH COMPETITION
Registration for this competition is deemed an acceptance of these Terms and Conditions. Terms and conditions may be amended at the discretion of the competition organizer and sponsor. Any and all amendments will be communicated to all participants in the competition. NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. PURCHASE OR PAYMENT WILL NOT IMPROVE AN ENTRY’S CHANCE OF WINNING. VOID WHERE PROHIBITED.
The Bose + Grand Central Tech Pitch Competition (the “Competition”) is an idea pitching competition run by Grand Central Tech, LLC (“Grand Central Tech”) and sponsored by Bose Corporation (“Bose”). It is designed to give startups, developers, entrepreneurs and other creators the chance to showcase their vision for a new Augmented Reality (“AR”) application. Competition entrants will produce a short video showcasing the innovative and exciting app idea for a Bose AR-enhanced experience.
Individuals, groups and entities (“Entrants”) may enter the Competition. To be eligible to apply, each Entrant must: (a) be 18 years of age or older, and (b) not be an employee of Bose or Grand Central Tech or each of their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies or each of their respective officers and directors, or any persons or entities directly associated with the Competition or members of their immediate families and/or persons living in the same household as such persons (collectively, the “Promotion Entities”).
By participating the in Competition, each Entrant unconditionally accepts and agrees to comply with and abide by these Terms and Conditions, any applicable entry form, the Bose SDK License Agreement if using the Bose Software Development Kit (SDK), and the decisions of Bose, which shall be final and binding in all respects.
Bose and/or Grand Central Tech may disqualify any Entrant from the Competition at any time if such Entrant (a) breaches these terms and conditions, (b) breaches any applicable law, or (c) if such Entrant is a party to any act or thing prejudicial to Bose or Grand Central Tech’s goodwill, commercial reputation or overall public image.
The Submission Period begins at 12:00:00 P.M. EST on April 12, 2019 and ends at 12:00:00 A.M. EST on May 22, 2019. No submissions will be accepted after 12:00:00 A.M. EST on May 22, 2019.
To enter into the Competition, each Entrant must go to the Pitch Website to register your submission: company-bosear.co. Each Entrant must completely and accurately submit all required information to enter, as well as upload a pitch video (the “Submission”).
The video must demonstrate the Entrant’s vision for a Bose AR-enhanced app and is strongly recommended to be no more than 3 minutes long. The video must be in a format that the Pitch Website accepts and must be the Entrant’s original idea. The Entrant should be able to provide on request all appropriate clearances, permissions and releases for the Submission, including releases from the Entrant and any third parties appearing in the Submission. Once the Entrant submits the Submission, it becomes the property of Bose.
Incomplete, corrupted, untimely, or unintelligible entries will be disqualified. Grand Central Tech and/or Bose may, in their sole discretion, refuse or exclude any Submission at any time before the end of the Submission Period without any notification or warning.
JUDGING, WINNER NOTIFICATION, ANNOUNCEMENT AND PRIZES
At the end of the Submission Period, judging will take place beginning at 12:00:00 A.M. EST on May 22, 2019 and ending at 12:00:00 A.M. EST on May 31, 2019 (the “Judging Period”). A panel of judges (“Judges”) selected by Bose, in its sole discretion, will judge the Submissions and select up to fifteen (15) finalists (“Finalists”) who will be notified via their contact information provided in their Submissions on or about May 31, 2019 (the “Notification Date”).
The Judges will be using the following criteria (“Judging Criteria”) to select the Finalists:
Heads up & Hands Free: How well does the idea or experience leverage the unique capabilities of the Bose AR platform and Bose Wearable hardware?
Innovation: How innovative is the idea being proposed?
Completeness: What stage of application has been demonstrated? E.g. Pure ideation, pseudocode, proof of concept, prototype, etc.
Presentation: How well did the Video Presentation demonstrate the idea, target audience, and use cases. Would you want to use this product?
Customer Value / Market Readiness: Is there a need for this experience, idea, or technology? Is this application solving a problem or making an impact which is not currently being met with today’s technology?
Feasibility: Is the idea or experience technically and practically feasible? Is your idea ready for development into an application that could be launched by September 2019?
The Finalists will be required to travel to New York, NY for an event on June 12, 2019 (the “Final Event”) and pitch their ideas live. Only Finalists who attend the Final Event will be eligible for a prize. If a select Finalist is unable to attend, such Finalist must notify the Judges within two (2) days of the Notification Date, and the prize will be forfeited. The Judges may, in their sole discretion, select another Submission to take the place of the Finalist.
The Judges will select from the Finalists five (5) winners (the “Winners”), who will each receive a prize of Ten Thousand Dollars ($10,000 USD) cash, and an opportunity to work with Bose to launch an application in the Apple app store.
The Winners will be announced at the Final Event. Final Event details, such as time, location, and presentation logistics, will be determined by Bose in its sole discretion and will be communicated to the Finalists on or about the Notification Date. Finalists may incur costs while participating in this Competition and traveling to and presenting at the Final Event. Finalists are responsible for those costs, including but not limited to, travel and accommodation expenses.
Federal and state income taxes may apply and are the sole responsibility of the winners.
Confidentiality of Entrant’s Submissions is not guaranteed in any way. Entrants should exclude sensitive or confidential information from their Submissions.
All Entrants should be aware that Finalists’ pitches will be presented in a public forum. Any and all of the Submissions and Final Event may be broadcast to interested persons through promotion and media which may include print, radio, television, social media and the internet. Any data or information included in any Submission by Entrants or discussed or divulged at the Final Event by Finalists should be considered information that will likely enter the public realm, and Entrants should not assume any right of confidentiality in any data or information discussed, divulged or presented in this session.
Non-Disclosure Agreements (NDAs) between an Entrant and the Judges, Bose, Grand Central Tech, organizers and/or audience members will not be required or allowed. Grand Central Tech and Bose are not responsible for any confidentiality issues that may occur during the course of the Competition and will not be involved in any way with disputes arising therefrom.
By entering a Submission, each Entrant agrees to Grand Central Tech and/or Bose disclosing the Entrant’s personal information to its sponsors, contractors and agents to assist in conducting the Competition, the Final Event, and communicating with Entrants.
PUBLICITY AND PROMOTIONAL ACTIVITIES
Each Entrant acknowledges and agrees that the Submissions and pitches at the Final Event, including publication of the business concept, name, and logo can be used in the public domain on Bose and Grand Central Tech websites and all other forms of advertising. The prize winner(s) must, at Bose’s request, participate in all promotional activity (such as publicity and photography) surrounding the award. Winners consent to Bose and Grand Central Tech using their name and image in promotional materials.
Each Entrant warrants that: (a) the ideas that the Entrant presents in connection with the Competition, including in the Submission, are the Entrant’s original work and not copied or adapted from any third party or source and that the Entrant owns all rights (including intellectual property rights) in any idea submitted into this Competition; (b) the Entrant’s use of ideas or information in relation to the Competition does not infringe any third party intellectual property rights; and (c) the Entrant’s pitch does not include any content that contravenes any law, infringes the rights of any third party or is otherwise objectionable or inappropriate.
If Entrant provides any ideas, suggestions or recommendations regarding Bose’s products, technologies, or services (“Feedback”) through Entrant’s Submission or otherwise in connection with the Competition, Bose may use and incorporate such Feedback for any purpose, including, but not limited to, developing, manufacturing and marketing products or services incorporating such Feedback, provided that, in doing so, Bose does not infringe the first Entrant’s patents, copyrights or trademark rights in the Feedback.
The Entrant’s participation in the Competition does not obligate Bose to enter into any further agreement or negotiation with the Entrant.
Bose may currently, or in the future, be developing information internally, or receiving information from other parties, that may be similar to the Entrant’s ideas, pitch and/or Submission. Nothing shall prohibit Bose from developing products or services, or having products or services developed for it, that are the same or similar to ideas submitted in Entrant’s Submission or pitch, or that compete with the Entrant’s products or services; provided that, in doing so, Bose does not infringe on Entrant’s intellectual property.
NATURE OF RELATIONSHIP/WAIVER OF EQUITABLE RELIEF
Each Entrant hereby acknowledges and agrees that the relationship between the Entrant and the Promotion Entities is not a confidential, fiduciary, or other special relationship, and that the Entrant’s decision to provide the Entrant’s Submission for purposes of the Competition does not place the Promotion Entities in a position that is any different from the position held by members of the general public with regard to elements of the Entrant’s Submission. Each Entrant acknowledges and agrees that the Promotion Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the Entrant’s copyright in and to Entrant’s Submission. Finally, each Entrant acknowledges that, with respect to any claim by Entrant relating to or arising out of any Promotion Entities’ actual or alleged exploitation or use of any Submission or other material submitted in connection with the Competition, the damage, if any, thereby caused to the applicable Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek injunctive or other equitable relief or in any way.
GENERAL LIABILITY RELEASE/FORCE MAJEURE
Entrants agree that the Promotion Entities shall not be responsible or liable for any losses, damages or injuries of any kind resulting from the Competition or any Competition-related activity. Bose or Grand Central Tech assume no responsibility for any damage to an Entrant’s computer system or other technology, which is occasioned by participating in the Competition, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, Delayed Computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Bose and Grand Central Tech are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged or stolen submissions or notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Bose and Grand Central Tech reserve the right in their sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Competition, to be acting in violation of these terms and conditions, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Competition, or to annoy, abuse, threaten or harass any other person, and Bose and Grand Central Tech reserve the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event Bose or Grand Central Tech is prevented from continuing with the Competition as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or regulation, or other cause not reasonably within Bose or Grand Central Tech’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Bose and Grand Central Tech shall have the right to modify, suspend, or terminate the Competition. If the Competition is terminated before the designated end date, Bose will (if possible) select the winners from all eligible, non-suspect Submissions received as of the date of the event giving rise to the termination. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
DISPUTES: Each Entrant agrees to release, defend, indemnify and hold harmless Bose and Grand Central Tech, agents of Bose and Grand Central Tech those working on its behalf and each of their respective officers, directors, representatives, employees, agents, successors and assigns from any damage, injury, death, loss or other liability, either at law or equity, whether known or unknown, asserted or non-asserted, that may arise from or in any way relate to any Entrant’s participation in this Competition, Bose’s use of the Submission, or the awarding, acceptance, use or misuse of any prize. Any and all disputes, claims and causes of action arising out of or in connection with this Competition shall be resolved individually without resort to any form of class action. This Competition shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts regardless of principles of conflicts of laws that may require the application of the laws of another jurisdiction. Any action or litigation concerning these Terms and Conditions shall take place exclusively in the federal or state courts sitting in Boston, Massachusetts, and each Entrant expressly consents to the jurisdiction of and venue in such courts and waives all defenses of lack of jurisdiction and inconvenient forum with respect to such courts. Each Entrant agrees to service of process by mail or other method acceptable under the laws of the Commonwealth of Massachusetts.
ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS COMPETITION. EACH ENTRANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEYS’ FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE.
All decisions regarding an Entrant’s removal and/or disqualification from the Competition are final. Judges’ decisions are final.
